These Terms of Service (the "Terms") govern your access to and use of the website located at legalvault.live (the "Site") and any related services, features, content, or applications offered by LegalVault Consulting Inc. ("we," "us," or "our"). Please read these Terms carefully before using the Site. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use the Site.
1. Acceptance of Terms
By creating an account, browsing the Site, or purchasing any products or services through legalvault.live, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms applicable to specific features. These Terms apply to all visitors, users, and others who access the Site, including but not limited to customers, vendors, and contributors.
2. Eligibility
To use the Site, you must be at least 18 years of age, or the age of majority in your province or territory of residence in Canada. By using the Site, you represent and warrant that you meet these eligibility requirements. 3. Accounts and Registration
When you create an account on legalvault.live, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other security breach. We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.
4. Products and Services
The Site offers products and services related to construction, home improvement, and building materials, including but not limited to tools, equipment, consulting services, and digital resources. We strive to accurately describe all products and services, including pricing, availability, and specifications. However, we do not guarantee that descriptions are error-free. All prices are listed in Canadian dollars (CAD) unless otherwise stated, and applicable taxes will be added at checkout.
We reserve the right to limit the quantities of any products or services we offer and to discontinue any product or service at any time without notice. All orders are subject to acceptance by us, and we may refuse or cancel any order for reasons including but not limited to product availability, errors in pricing, or suspected fraudulent activity.
5. Orders and Payments
When you place an order, you agree to pay the full amount, including any taxes, shipping fees, and handling charges. Payment must be made through the methods offered on the Site, such as credit cards, debit cards, or other secure payment gateways. Your payment information will be processed securely by third-party payment processors, and we do not store full credit card numbers on our servers.
We reserve the right to validate payment information before fulfilling orders. If a payment is declined, we may cancel the order and notify you. You are responsible for any fees or charges imposed by your financial institution.
Order Confirmation: After placing an order, you will receive an email confirmation. This confirmation does not constitute acceptance of your order. Acceptance occurs when we ship the product or provide the service. We may cancel orders if we discover pricing errors, stock issues, or other discrepancies.
6. Shipping and Delivery
We ship to addresses within Canada. Delivery times are estimates and not guaranteed. We are not responsible for delays caused by carriers, weather, or other factors beyond our control. Risk of loss and title for products purchased from the Site pass to you upon delivery to the carrier. You are responsible for inspecting products upon receipt and reporting any damages or discrepancies within 48 hours.
7. Returns, Refunds, and Exchanges
Our return policy is as follows:
- Return Window: You may return most new, unopened products within 30 days of delivery for a full refund. Some products, such as custom orders and downloadable digital content, are non-returnable.
- Condition: Products must be returned in their original packaging, unused, and in the same condition as received.
- Refunds: Refunds will be processed within 10 business days after we receive the returned item. Shipping costs are non-refundable unless the return is due to our error.
- Exchanges: Exchanges are handled on a case-by-case basis. Please contact our customer service team at support@legalvault.live to initiate a return or exchange.
We reserve the right to refuse returns that do not comply with this policy. For digital products, all sales are final unless the product is defective.
8. Intellectual Property
The Site and its entire contents, features, and functionality (including but not limited to text, graphics, logos, images, videos, software, and design) are owned by LegalVault Consulting Inc., its licensors, or other providers and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from the Site without our prior written consent.
Trademarks: The name "LegalVault Consulting" and related logos are trademarks of LegalVault Consulting Inc. You may not use these trademarks without our written permission.
9. User Content
If you submit, post, or upload content to the Site, including reviews, comments, photos, or feedback ("User Content"), you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and worldwide license to use, reproduce, modify, publish, and distribute such User Content in any media. You represent that your User Content does not infringe any third-party rights and complies with all applicable laws.
We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable. We are not responsible for User Content posted by third parties.
10. Prohibited Conduct
You agree not to use the Site for any unlawful purpose or in violation of these Terms. Prohibited conduct includes, but is not limited to:
- Violating any federal, provincial, or local laws or regulations in Canada.
- Infringing on the intellectual property or privacy rights of others.
- Uploading viruses, malware, or other harmful code.
- Engaging in fraudulent, deceptive, or misleading activities.
- Interfering with the operation of the Site or its security features.
- Attempting to access accounts or systems without authorization.
- Using automated tools (e.g., bots, scrapers) without our permission.

We may suspend or terminate your access if we determine, in our sole discretion, that you have engaged in prohibited conduct.

THE SITE AND ALL PRODUCTS, SERVICES, AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF DEALING.
WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES. WE ARE NOT RESPONSIBLE FOR ANY DAMAGES ARISING FROM YOUR USE OF THE SITE OR ANY PRODUCTS OR SERVICES PURCHASED THROUGH THE SITE. YOUR SOLE REMEDY IS TO DISCONTINUE USE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LEGALVAULT CONSULTING INC. OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SITE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR CAD $100, WHICHEVER IS LESS. SOME PROVINCES AND TERRITORIES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
14. Indemnification
You agree to indemnify, defend, and hold harmless LegalVault Consulting Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to your use of the Site, your User Content, your violation of these Terms, or your violation of any law or third-party rights. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with us in such defense.
15. Termination
We may terminate or suspend your account and access to the Site at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Site will immediately cease. Sections 8 through 20 of these Terms shall survive any termination.
16. Governing Law and Dispute Resolution
These Terms and any disputes arising out of or related to them shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Toronto, Ontario, and you consent to personal jurisdiction and venue in such courts.
Informal Resolution: Before filing any claim, you agree to first contact us at support@legalvault.live to attempt to resolve the dispute informally for 60 days. If the dispute cannot be resolved, you may pursue arbitration or court proceedings as described herein.
Arbitration: Any dispute not resolved informally shall be resolved by binding arbitration administered by the ADR Institute of Canada in accordance with its rules. The arbitration shall be conducted in English and located in Toronto, Ontario. Each party shall bear its own legal fees, and the arbitrator may award costs to the prevailing party.
Class Action Waiver: You agree that any dispute shall be brought individually and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or arbitration.
17. Changes to These Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on the Site. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically. We will notify you of material changes via email or a prominent notice on the Site.
18. Privacy
Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Site, you consent to our collection and use of information as described in the Privacy Policy.

20. Miscellaneous
These Terms, together with the Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and LegalVault Consulting Inc. regarding the Site. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
No Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
Severability: If any part of these Terms is held invalid or unenforceable, that part shall be construed to reflect the original intent, and the remaining portions shall remain in full force.
Assignment: You may not assign these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms freely.
Force Majeure: We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to natural disasters, war, terrorism, strikes, or government orders.
Electronic Communications: By using the Site, you consent to receive communications from us electronically, such as emails or notices posted on the Site. You agree that all communications we provide electronically satisfy any legal requirement that such communications be in writing.
Language: These Terms are drafted in English. Any translations are provided for convenience only, and the English version shall prevail in case of conflict.
